1. Introduction & Acceptance of Terms
These Terms & Conditions ("Terms") govern any project, quotation, invoice, or service engagement between Silicon Smiths ("we", "us", "our") and the client ("you", "your"). By accepting a quotation, signing a project agreement, or making a payment to Silicon Smiths, you agree to be bound by these Terms in full.
2. Services Provided
Silicon Smiths provides web development, search engine optimization (SEO), digital marketing, graphic design, content writing, and AI automation services. The exact scope of work for any engagement is defined in the accompanying quotation, proposal, or statement of work, which forms part of these Terms once accepted.
3. Quotations & Project Scope
All quotations are valid for 30 days from the date issued unless stated otherwise. A quotation reflects the scope described at the time it was prepared — features, pages, revisions, or deliverables not explicitly listed are considered out of scope and may require a separate quotation or change order.
4. Payments & Invoicing
- Most projects require an upfront deposit (typically 50%) before work begins, with the balance due on delivery or split across agreed milestones.
- Monthly retainers (SEO, marketing, ongoing support) are invoiced in advance and due within 7 days of the invoice date unless otherwise agreed in writing.
- Late payments may result in paused work, and invoices unpaid for more than 30 days may accrue a late fee of up to 2% per month.
5. Revisions & Change Requests
Each project includes a defined number of revision rounds as stated in the quotation. Requests that fall outside the original scope — new pages, new features, or a change in direction after design/development has started — will be quoted separately as a change order before work continues.
6. Client Responsibilities
You are responsible for providing content (text, images, logos, and brand assets), timely feedback, and any access credentials (hosting, domain, third-party accounts) required to complete the project. Delays in providing these may extend the project timeline accordingly.
7. Intellectual Property & Ownership
Ownership of custom code, designs, and content created specifically for your project transfers to you upon full and final payment. Until final payment is received, all work product remains the property of Silicon Smiths. We retain the right to showcase completed projects in our portfolio unless you request otherwise in writing.
8. Third-Party Services & Licenses
Projects may rely on third-party services, plugins, themes, fonts, stock imagery, or software licenses. Ongoing fees for these (hosting, domains, premium plugins, SaaS subscriptions) are your responsibility unless explicitly included in the quotation, and are governed by their respective providers' own terms.
9. Project Timelines & Delays
Estimated timelines are provided in good faith based on the agreed scope and timely client cooperation. Silicon Smiths is not responsible for delays caused by late content delivery, delayed feedback, delayed payment, or changes in scope requested after work has started.
10. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or financial information shared during the course of the engagement, and not to disclose it to third parties without prior written consent, except as required by law.
11. Warranties & Disclaimers
We warrant that services will be performed with reasonable skill and care. However, we do not guarantee specific search engine rankings, traffic figures, or sales outcomes, as these depend on factors outside our direct control, including search engine algorithm changes and market conditions.
12. Limitation of Liability
To the maximum extent permitted by law, Silicon Smiths's total liability arising from any project shall not exceed the total amount paid by you for that specific engagement. We are not liable for indirect, incidental, or consequential damages, including loss of profits or data.
13. Termination
Either party may terminate an engagement with written notice. In the event of termination, you are responsible for payment of all work completed up to the termination date, including any non-refundable third-party costs already incurred on your behalf.
14. Governing Law
These Terms are governed by the laws of Pakistan. Any disputes arising from these Terms or a project engagement shall be subject to the exclusive jurisdiction of the courts of Pakistan.
15. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. The most current version will always be available on this page, and continued use of our services after an update constitutes acceptance of the revised Terms.
